Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Geo Commerce Private Limited ("Geo Commerce", "we", "us", or "our"), including our web applications, client platforms and related services (the "Service"). By creating an account or continuing to use the Service, you agree to be bound by these Terms.

Geo Commerce provides workflow, technology, commerce and operations services and platforms that help teams manage projects, tasks, approvals, quotes, invoices, stores, analytics and related collaboration with their clients and brands.

By using the Service you confirm that you are at least 18 years old and, if using on behalf of an organization, that you have authority to bind that organization to these Terms.

You must not misuse the Service. In particular, you agree not to:

• Use the Service for any unlawful, fraudulent, or deceptive purpose;
• Send spam or unsolicited communications;
• Infringe the intellectual property or privacy rights of others;
• Interfere with the security or integrity of the Service, including by introducing malware, probing, scanning, or scraping;
• Reverse engineer, resell, or circumvent any technical limitations of the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date.

The Service, including all software, documentation, branding, and content provided by Geo Commerce, is and remains the property of Geo Commerce Private Limited. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of the content you upload, and grant us a limited license to host and process it solely to provide the Service.

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

Invoices are issued by Geo Commerce Private Limited and may be paid through the payment link provided on each invoice. Applicable taxes, billing, cancellation, and refund mechanics are governed by these Terms and the applicable refund or commercial policy for the service purchased. Where required by law, we will issue tax invoices for completed payments.

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, where applicable, we will provide a reasonable window to export data, after which it may be deleted.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim. We are not liable for any indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

You agree to indemnify Geo Commerce for any third-party claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

These Terms are governed by the laws of India. The courts of Jaipur, Rajasthan shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to mandatory consumer protection laws of your country of residence.

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
